Meetings Every Month
Constitution & Rules1. NameThe name of the Club shall be the "Hunter District Cycling Club", Incorporated. 2. Headquarters.The headquarters of the Club shall be determined by the Executive. 3. InterpretationIn this constitution, and in any Regulation and/or by-Laws made thereunder unless the contrary intention appears: a) "Club" Means "Hunter District Cycling Club” inc b) "Federation means "New South Wales Cycling Federation". c) "Auxiliary" means "Women's Auxiliary of the Hunter District Cycling Club". d) "Executive" means the Executive of the Club as provided by Clause 13 of this constitution. e) "Delegate" means a person representing the club at Federation Council Meetings as provided for in by-law 22. 4. ObjectsThe Objects of the Club will be: a) To provide and promote the Sport of Cycling for the benefit of its members. b) To provide occasions for the social gatherings of the members of the Club, the Auxiliary and supporters of the "Sport of Cycling" 5. Financiala) The Club shall collect the Annual Subscription (including Federation Affiliation and Licence Fee) determined each year. These fees shall be payable in advance for 12 months commencing the first day of November each year b) All accounts shall be paid by cheque signed by any two of the following officials: President, Secretary, Treasurer. c) All accounts shall be submitted to a General Meeting, passed and endorsed by the Chairman. d) Vouchers for petty cash shall be presented at General Meetings. The secretary shall be allocated $50 petty cash. e) The books shall be audited in the second week of September ,or at the Direction of the Executive; or a duly constituted club meeting, or at the request of the Auditors. f) The Treasurer shall submit a monthly financial statement together with a reconciliation, covered by a bank statement at least every 6 months. 6. Office Bearersa) President b) Vice President c) Honorary Secretary d) Honorary Treasurer e) Honorary Handicapper f) Honorary Assistant Secretary g) Honorary Assistant Treasurer/Membership registrar and such other officials as required by the Club. The office bearers shall be elected once every year at the Annual general Meeting and shall hold office for one year. 7. Duties of Office Bearersa) President: The President shall be the Chairman of the annual, special, General and Executive meetings and in his absence, one to be appointed from the meeting. The Chairman shall have a primary and casting vote. b) Secretary: It shall be the duty of the secretary, to conduct the business of the Club in accordance with the rules and by-laws. c) Ass. Secretary: Shall keep records of all Trophies, medals and prizes due to the Club and issue these on application. d) Treasurer: The Treasurer shall have charge of the Club funds. It shall be his duty to make all disbursements on its behalf. e) Ass. Treasurer / Registrar: The assistant treasurer/Membership Registrar shall collect all Membership money and issue receipts and licences when due and keep an up to date record of club Members f) Handicapper: Arrange all handicaps for Club Track and road events and send updates to the State and Divisional Handicapper, on a regular basis. 8. Executive CommitteeThe executive committee of the club shall be the President, Vice-President, Secretary, Assistant Secretary, Treasurer, Assistant Treasurer, Handicapper, Publicity Officer, Referee, Social Secretary and Three other members, one to be a Junior. Five to form a quorum. 9. Power of the Executive.a) It shall be the duty of the executive to carry out the standing orders of the Club and to transact the business where not otherwise provided, and to report proceedings to the Club at each General Meeting. b) The Executive shall have the power to fine, suspend or expel any member of the Club or any Official, upon cause being shown. 10. Other CommitteesThe Executive may utilise the services of any person or appoint any committee considered necessary for the efficient conduct of the affairs of the Club. 11. Annual General Meeting1. The Annual General Meeting shall be held on the General Meeting night in the month of October each year. 2. Order of Business at Annual General Meeting. The regular business of the Annual General Meeting which shall take precedence over all other business shall be: a) Registration b) Apologies c) Minutes of previous Annual General Meeting d) President's Report e) Honorary Secretary's report f) Honorary Treasurer's Balance sheet and Bank statement g) Honorary Auditor's report h) Election of Officers. i) General Business 12. Special MeetingSpecial General Meetings may be held on such days that will allow seven (7) clear days notice being given to members. The business to be discussed shall be stated on such agenda paper and No Other business will be discussed at the meetings. Such meetings may be covered by: 1. Motion of the Executive 2. REQUISITION SIGNED BY NOT LESS THAN TEN (10) MEMBERS. 13. Amendments to Rulesa) No alteration shall be made in the Rules and constitution of the Club, without three fourths (75%) of the members present at the General Meeting, properly convened for the purpose. b) Any alteration of the rules and Constitution shall take effect from the date of passing, pending confirmation at the next meeting. 14. Annual General Meetings.Members wishing to bring forward motions at the General Meeting to alter Rules and Constitution of the Club, shall forward to the Secretary notice of same in writing, at least by the proceeding General Meeting, where it shall be brought to the notice of all members. 15. Regulations and/or By-LawsRegulations may be made prescribing matters that are necessary or convenient for carrying out or giving effect to this constitution. By-Laws may prescribe the means by which effect is given to this constitution. 16. Public OfficerThe Public Officer will be appointed by the Executive Committee each year at the Annual General Meeting. Should a vacancy occur the Committee will appoint a person to fill that vacancy within one(1) month. 17. Common SealThe Executive Committee shall provide for the safe custody of the seal, which shall only be used by the authority of the Committee and every instrument to which the seal is affixed shall be signed by a member of the Committee and shall be countersigned by the President or Secretary.
